It happens all too often. Two businesspeople reach a deal they both understand that can be summarized in a page or two of business correspondence. They turn the deal over to the lawyers and end up with a massive set of documents with a dizzying array of provisions that even the most sophisticated businessperson could not be expected to understand fully.

Deep within the maze of convoluted and cross-referenced provisions, a lawyer for one of the parties has slipped in a provision that alters a key term of the agreement. The other party would never knowingly agree, but his or her lawyer does not explain what the other lawyer has done, and the client ends up committed to a deal different than the one he or she made.

Or perhaps, in the process of drawing up the agreement, one of the lawyers simply misstates a provision of the agreement between the parties, and neither attorney catches the error. Again, both parties are committed to something they never intended to commit themselves to.
